INTRODUCTION

Cliqbox is a digital platform that enables its customers come together for the purpose of achieving financial common goals through digitalized contribution and micro lending while promoting saving culture as well. Cliqbox through technology provides its customers with easy access to financial services by offering the following:

  1. Ajo Society: This feature consists of 3 societies devised with persons of mutual interest and goals which are: (a) Regular Society (b) Cooperative Society (c) Agent Society. Regular Society allows for a maximum of 12(twelve) persons; Agent Society allows for a maximum of 1000 (one thousand) persons while the Cooperative society has no limit. Each society is distinct in its own form.
  2. Peer to Peer feature: This creates a channel for a customer to send, request and receive money from other Cliqbox customers.
  3. Loan: This feature grants customers the opportunity to take loans while offering favourable interest rates. Note that interest rates differ based on the customer’s credit worthiness, principal, frequency and time length.
  4. Contribution: this feature enables customers to participate in individual and/or group contributions in order to achieve future goals or meet set targets.

1. CAPACITY TO CONTRACT

  1. Registration and participation in Cliqbox products and services is currently restricted to Nigerian Residents, 18 (eighteen) years of age and above. Please note that any unauthorized, unlicensed or unsanctioned use of the Cliqbox Services by persons under 18(eighteen) years is strictly prohibited.
  2. In order to avoid unlawful activities, Cliqbox reserves the right to carry out checks to verify any and all the information provided and to exclude Customers from its services. If there are any doubts regarding the attainment of the minimum age required, Cliqbox reserves the right to ask the customer for proof of age.

2. MEMBERSHIP/ REGISTRATION

  1. In order to use our Services and Products on the Cliqbox website, Customer shall be required to create an account. During the account creation process, a customer will be required to provide necessary information for registration. These includes full name, date of birth, mobile number, gender, contact address, state of residence, bank account data, email address, etc. All information submitted must be accurate and reflect current status. For additional information, we refer you to our Privacy Policy.
  2. In the event that Customer’s registration information is inaccurate or incomplete, he/she will be required to update such information upon request.
  3. To verify your mobile device, we may send you a code via text message to the mobile number and instruct that you enter that code to complete such verification.
  4. Cliqbox shall not be held responsible for any false information provided by the customer with regards to age or his/ her legal capacity to use the Cliqbox website.
  5. The customer agrees to notify Cliqbox of any change/ update in personal details or other relevant information.
  6. Cliqbox allows customer to create multiple accounts. Note that, each account shall be created using separate mobile numbers and these details shall be stored in its database.
  7. Customer acknowledges that his password and PIN shall be known and kept secret at all times. Every holder shall treat his/her account as a bank account and must be discreet about the password. To maintain a high level of security, cliqbox reserves the right to conduct a security review at any time, especially prior to processing the Customer’s withdrawal request, validate identity and financial transactions.
  8. By registering an account, Customer represents and warrants that he/she is of legal age, is competent to enter into a binding legal agreement, and that he/she hereby understands and accepts all the Terms.
  9. The necessary documentation to verify your account include but is not limited to:
    • Bank Verification Number (BVN);
    • A copy of valid identification document such as International Passport data page, National Identity Card, Drivers License or Voter’s Card;
    • A recent Utility Bill or Bank Statement clearly showing your Name or residential Address;
    • Such other information and documentation that may be required from time to time.
  10. The customer hereby grants cliqbox the license to carryout a survey of the customer’s banks, institutions and authorities with which the customer has interfaced for purposes of determining the customer’s credit worthiness and ascertain possible recovery mechanism/ options.

3. PAYMENT METHODS

  1. cliqbox accepts deposits via the following credit and debit card types: Visa; MasterCard; Verve debit Cards, mobile App transfer, internet banking and other applicable method.
  2. Where Customer uses a mobile money account, a credit/debit card and/or a financial/bank account for his transactions, the account holder’s / cardholder’s name must be the same as the name used when registering Customer’s account.
  3. Should the name registered on Customer’s account and the name that appears on his credit/debit card and/or financial/bank and/or a mobile money account differ in any way, such account will be immediately suspended.
  4. Should Customer’s account be suspended, cliqbox recommends that he/she contacts customer service at support@ajobox.ng or +234(0)8104730007 for details regarding our verification process.

4. WITHDRAWALS

  1. Subject to Customer’s request, withdrawals will be processed to the payment account from which the deposits were made. Withdrawal payments can also be made to any account holder of the customer’s choice.
  2. In order to process such withdrawal, Cliqbox shall request for a transaction PIN identifiable to the Customer only.
  3. You may also be requested to send us a front and rear copy of your valid Government Issued Identification. Whenever a transaction is made through bank transfer, credit card or electronic wallet, the first withdrawal request will be processed only after a security check has been performed. In such instances you may be required to provide the following documents together with the ID in order to comply with our security policies:
    • In case of card transactions, a copy of both sides of each of the cards used duly signed by the owner;
    • A copy of an official document showing your billing address if it differs from the one registered in the ID;
    • Any other document that may be relevant in order to complete the check.
    • Full compliance with our requests will speed up the verification process.
  4. Cliqbox reserves the right to carry out verification exercise before withdrawals.
  5. With the exclusion of standard transaction fees, no charge will be levied by Cliqbox on withdrawals. In the event that Customer’s bank charges an exchange rate fee for example, Cliqbox cannot be held liable for any such charge.
  6. Withdrawals will be processed and completed within 24 hours. However, the customer acknowledges that the Banks determines when the payment is made and Cliqbox has no authority to speed up this process.

5. CONSENT

To the extent permitted by applicable law, customer consents to use electronic signatures and to electronically receive all records, notices, statements, communications, and other items for all Services provided under these Terms and in connection with his/her relationship with Cliqbox.

Customer’s consent to receive correspondence electronically will remain in effect until withdrawn by such customer. Consent for receiving further correspondence may be withdrawn by contacting support@ajobox.ng or +234(0)8104730007 Where a customer withdraws his/her consent to receive correspondence electronically, Cliqbox may close such account, except as expressly provided in these Terms. Any withdrawal of customer’s consent to receive correspondence electronically will be effective only after the withdrawal has been processed within a reasonable period of time. Note that withdrawal of consent to receive correspondence electronically will not be applicable to correspondence electronically provided before the withdrawn consent becomes effective.

6. PROHIBITED ACTIVITY

Cliqbox reserves the right to monitor all customer activity. Some activities are expressly prohibited and may result in immediate termination of Customers’ account, the following activities are expressly prohibited in connection with the Cliqbox website including but not limited to:

  1. Use of bots, scraper, spider or any other form of artificial intelligence;
  2. Use of VPNs or other software to circumvent any geographic limitations applicable to the Service;
  3. Misuse or abuse of bugs, glitches or errors of the Service;
  4. Use of Cliqbox Products and Services in any way that is illegal, harmful, deceptive, defamatory, obscene, fraudulent or otherwise objectionable, as may be determined by Cliqbox in its sole discretion;
  5. Hacking, attacking or abuse of the servers, software or other components of the service;
  6. Participating, aiding or facilitating criminal activity of any kind;
  7. Collect or deal with proprietary data without Cliqbox consent first sought and obtained.
  8. Impersonate or attempt to impersonate Cliqbox, an Cliqbox employee, another customer or any other person (by using email addresses or screen names associated with any of the foregoing);
  9. Violation of any applicable law(s) in Nigeria;
  10. Interference with another customer’s access to the Cliqbox services by way of defamation, extortion, harassment, threat or violation of rights and privacy.
  11. Attempt, in any manner, to obtain the personal information (username, password/PIN) and security information from other Customers on the Cliqbox platform/ services;

7. TERMINATION

  1. Cliqbox reserves the right to close a customer’s account should any of the following circumstances occur:
    • if the Customer provides incorrect or misleading information in the course of registering an account and fails to rectify such information.
    • if Customer is found colluding,cheating or undertaking any kind of fraudulent activity while using the Cliqbox products and services;
    • if Customer uses or access the platform service in bad faith;
  2. To the extent permitted by the applicable law(s), Cliqbox in its sole discretion reserve the right to terminate any Customer account without prior notice. Customer is expected to abide by these Terms at all times and accept that any breach could lead to penalties including but not limited to account suspension and /or account closure.
  3. Upon closure of Customer’s account by Cliqbox without notice, all remnant funds may also be transferred to the customer’s Bank Account.

8. INTELLECTUAL PROPERTY

The content of Cliqbox Website/App, Products, distinctive names and marks are the Intellectual Property of Cliqbox Technology Limited. Cliqbox reserves all right to domain name, trademarks, logos, copyright, patent and other intellectual property used on its website, products or services. Such property may not be used, altered, distributed or modified; in whole or part without the written consent of Cliqbox. Except as expressly provided by the Terms or with our prior written consent, customer may not use, modify, disassemble, distribute, license, sell, display, rent, publish, download, transmit or otherwise exploit any content in any form by any means.

Cliqbox does not grant its customers any licenses, express or implied, to its Intellectual Property or to the Intellectual property of its Licensors, except as expressly stated in the Terms. Cliqbox and its third-party licensors retain all rights, titles and interests in and to the Services, Content and any associated patents, trademarks, copyrights, trade secrets and other intellectual property rights

All measures including legal action will be taken to protect the intellectual property rights of Cliqbox and ensure compliance.

9. USER CONTENT

The Cliqbox Services may permit customer to submit content, send emails & other communications, and provide other information for publication or distribution to third parties (collectively, "User Content"). Any User Content must not be illegal, threatening, obscene, racist, defamatory, libellous, pornographic, infringing of intellectual property rights, promoting of illegal activity or harm to groups and/or individuals, invasive of privacy, purposely false or otherwise injurious to third parties, or objectionable and must not consist of or contain software, computer viruses, commercial solicitation, political campaigning, chain letters, mass mailings, or any form of "spam."

Where customer submits User Content, and unless Cliqbox indicates otherwise, customer is deemed to have granted Cliqbox a nonexclusive, perpetual, royalty-free, irrevocable, and fully sublicensable (through multiple tiers) right to use, modify, reproduce, adapt, translate, publish, create derivative works from, distribute, display, and otherwise exploit such User Content throughout the world in any media. Cliqbox takes no responsibility and assume no liability for any User Content submitted by customer or any other customer or third party.

10. ACCOUNT CLOSURE

If a customer decides to close his/her account, he/she can withdraw any funds remnant and contact our customer service team at support@ajobox.ng or +234(0)8104730007, who will try to assist him/her with any issues or concerns. Notwithstanding the foregoing, if there are pending transactions relating to the customer’s account after an account closure notice has been received, such account will be closed after all pending transactions have been completed.

Account shall be closed subject to his/her confirmation 24 hours upon request. Funds in the customer’s account, if any, shall be transferred to his/her designated bank account..

11. CUSTOMER COMPLAINTS

  1. All enquiry, suggestion and complaints about Cliqbox services should be sent to Customer Service at support@ajobox.ng or +234(0)8104730007. Such complaints will be referred to a competent manager for immediate action and response.
  2. Customer complaints/claims of any nature must be submitted within 7 days of event leading to the complaint. Upon receipt, best efforts will be made to resolve any reported matter promptly. We will endeavor to respond within 48 hours.
  3. Cliqbox will communicate a decision on complaints to customer within a reasonable time.
  4. In determining the accuracy of any complaint or claim, the records of Cliqbox server shall be the final authority.
  5. These Terms are governed by, and interpreted in accordance with, the Laws of Nigeria and you irrevocably submit to the Arbitration Laws of Lagos State to settle any disputes which may arise in connection with the creation, validity, effect, interpretation or performance of, or the legal relationships established by or otherwise arising in connection with these Terms. Failure to resolve disputes by way of arbitration shall give cause to either party to institute an action in the exclusive jurisdiction of competent courts of Nigeria.
  6. Claims brought by a customer must be in his/her individual capacity and not as a class member in any purported class representative proceedings.
  7. We consider these Terms to be fair. 12. ASSIGNMENT

Customer may not transfer, assign or delegate his/ her rights and obligations herein to a third party in any way (by operation of law or otherwise) without our prior written consent. To the extent permissible by applicable law(s), Cliqbox may transfer, assign or delegate its rights and obligations herein without the customer’s consent.

13. DISCLAIMER

To the full extent permitted by applicable law(s) and except as otherwise expressly provided in these Terms, Customer expressly understands and agrees that his/her use of the services and all information, products, and other content (including that of third parties) included in or accessible from the Cliqbox Services is done solely at his/her risk. These services are provided on an "as is" and "as available" basis without any warranty and representation of any kind.

To the full extent permitted by applicable law(s), Cliqbox and its third-party service providers expressly disclaim any and all conditions, representations, and warranties ofany kind as to the Services and all information, products, and other content (including that of third parties) included in or accessible from the Services, whether express, implied, statutory, or otherwise, including, but not limited to, any implied warranty and conditions of merchantability, non-infringement, fitness for a particular purpose or compliance with applicable laws and regulations.

14. LIABILITY

  1. In relation to its website, Products and Services, Cliqbox disclaims all liabilities:
    • Regarding the availability, security, accuracy, reliability, timeliness and performance of its website, content and/or customer information;
    • That its website will be error-free or that any errors will be corrected;
    • That its website will be free from electronic viruses.
  2. Cliqbox shall not be liable to the Customer, or to any third party for any remittance, disclosure, withdrawal, transfer or any activity on the Customer’s account whether authorized by the Customer or not, provided that such remittance, disclosure, withdrawal, transfer or any activity was authorized or made possible by the fact of the knowledge and/or use, or manipulation of the Customer’s password, or otherwise by the Customer’s negligence.
  3. Cliqbox shall not be liable for a force majeure event;
  4. Cliqbox shall not be liable in instances where contributors default in payment. Cliqbox responsibility is to manage and send reminders.
  5. Cliqbox shall not be liable in instances where customer sends money to a wrong user erroneously in the course of using the peer-to-peer feature.
  6. The Customer absolves Cliqbox of all liabilities, criminal or civil action arising with respect to the source of funds saved on our platform.
  7. Customer agrees to indemnify and hold Cliqbox, its directors, employees, agents, third-party providers and affiliates harmless against any costs, claims, suits, damages and expenses arising from and in connection with:
    • the use or access to his/her account by any third party as a result of his/her negligence, breach of Terms, wilful misconduct, fraud, dishonesty or criminal activities;
    • Use of materials obtained from the website.

15.GENERAL PROVISIONS

  1. You are required to abide by these Terms at all times and accept that any breach could lead to penalties including but not limited to exclusion from our services.
  2. Cliqbox does not warrant the constant availability and functionality of all or any products offered by Cliqbox. Cliqbox may not be held liable and will be held harmless by the Customer for any damages, losses, costs or any other disadvantage a customer may incur in connection with any disconnection from or the non-availability of any of the products offered by Cliqbox for whatever reason.
  3. Any Customer who uses the service for illegal purpose does so at his/her own risk and may be prohibited from accessing the Cliqbox services.
  4. The relationship between Cliqbox and Customers is subject to Nigerian laws and all transactions denominated in Nigerian currency (Naira).
  5. All indicated dates and times are based on WAT (West Africa Time) unless stipulated otherwise.
  6. Any verbal statement made by Cliqbox employees or affiliates will not be considered in case of a dispute.
  7. Cliqbox is not bound by verbal communication of its employees, agents, or affiliates which is contrary to our membership rules. Any revision, amendments or exceptions to the rules will be communicated to Customers in written form or via electronic mail.
  8. Any provision in the Terms found to be invalid or unenforceable by competent authority shall be removed and not affect the validity of other provisions which remain in force.
  9. Where Customer participate in an offer using the platform, Customer accepts and agree to be bound by the rules which apply to the applicable products available on the website/ platform from time to time.
  10. The Cliqbox Terms and Condition are subject to review at intervals and prevailing edition of the Terms at any given time will be binding. Customer reserves the right to give consent or otherwise to such revisions. Take note that acceptance of our revised Terms is required for continued access and use of the Cliqbox Services. If you do not agree to these Terms, you are advised to discontinue the use of our Services and request for the closure of your account.
  11. The Cliqbox Terms and Condition are in English and any alteration due to translation to other languages shall not be a ground for dispute or claims by a Customer.
